Atari S.A. Just Appeared in the SEC's EDGAR Database for the First Time — With a $39.5 Million Debt-to-Equity Offering
Excerpt: Atari's Luxembourg parent and its New York IP-holding subsidiary each filed a Form D exempt-offering notice dated September 2026, disclosing a $39.5 million debt-to-equity offering. It is the first time the current Atari parent entity has ever appeared in the SEC's EDGAR database — and the filings are the US-side paper trail of the shareholder-loan conversion that handed chairman Wade Rosen's IRATA LLC a controlling stake in the company.
The short version
- Atari S.A. — the Luxembourg société anonyme that is now the parent of the Atari group — has exactly one filing in the US SEC's EDGAR database. It is a Form D notice of an exempt offering, filed 2026-09-17 (CIK 0002155349). The parent's EDGAR debut came four months after Atari completed a 200-to-1 reverse stock split in May 2026.
- Its operating US subsidiary, Atari Interactive, Inc. — the Delaware company that owns the Atari wordmark and logo — filed two Form D notices in September 2026 (CIK 0002071950). The larger one reports $39,500,000 offered, $16,200,000 sold, $23,300,000 remaining, 20 investors, minimum investment $10,000, under Rule 506(b).
- Both filings describe the securities in the same verbatim phrase: "Conversion of debt to new debt or equity." Both were signed by Atari general counsel Ted Biderman.
- The offering is the American-regulator footprint of a financing already described in Atari's audited annual report: the conversion by IRATA LLC — a holding company controlled by Atari chairman and CEO Wade Rosen — of shareholder loans into new Atari shares at €24.00 each.
- Atari's own numbers show hardware is its fastest-growing line (revenue up to €7.3M from €4.0M, an 83% increase), even as the group's overall filings describe a business still financed in part by its reference shareholder rather than by operating profit.
- No English-language games outlet appears to have reported that Atari now files with the SEC at all.
What the Form D filings actually say
Form D is the notice a private company files with the SEC when it sells securities under an exemption from registration. It is short, sworn, and public. Here is what Atari's say.

Atari Interactive filed a second, smaller Form D the same week — signed 2026-09-16, $1,500,000 offered, $325,000 sold, 3 investors, minimum $50,000, debt only. It is a separate tranche from the $39.5M notice, not an amendment to it.
There is also a 2025 precedent: Atari Interactive filed its first Form D on 2025-06-11 ($8,000,000 offered, $1,350,000 sold, 2 investors, minimum $100,000, debt only, first sale 2025-05-30). Shareholder-and-private debt financing is a recurring mechanism at this company, not a single event.
Why a games filing is hiding under "Other Technology"
Both new Form Ds classify the issuer's industry group as "Other Technology." That label is generic enough that the filings do not surface in any search for gaming companies, consoles, or hardware — which is a large part of why they have gone unremarked.
The issuer, however, is not anonymous. Atari Interactive, Inc. is the company Atari itself identifies as the owner of its marks: the Atari.com footer reads "Atari and the Atari logo are registered trademarks owned by Atari Interactive, Inc.", and Atari's own regulated press releases carry the same copyright line. The Form D address — 286 Madison Avenue, 8th Floor, New York — matches the corporate address associated with that trademark ownership.
So the entity raising $39.5M against a debt-to-equity conversion is the same entity that owns the Atari console brand whose hardware line Atari calls its growth story.
The conversion behind the paperwork
The filings describe a mechanical event, not a cash raise. There appear to be no sales commissions and no finders' fees — consistent with a directed placement to existing lenders rather than a marketed round.
The underlying transaction is described in Atari's audited FY2025-26 annual report and in French-language financial coverage:
- Loans Atari drew from IRATA LLC between February and May 2026, carrying 15% annual interest, with a principal-and-interest total of €11.7 million, were converted into 489,289 new Atari shares at €24.00 each.
- The report states that 528,649 new ordinary shares were issued at €24.00 across the conversion and the refinancing taken together.
- Separately, €29.3 million of convertible bonds held by IRATA became due on 2026-07-31; IRATA did not convert, and the amount was rolled into new 12% loans with a maturity of several years and a conversion floor at €24.00.
- After the operation, IRATA LLC holds 48.8% of Atari's capital and 49.1% of its voting rights — a controlling position for the holding company of the chairman and CEO.
[ANALYSIS] The two Atari Form Ds and the French-reported capital-increase operation share the same signature date territory, the same 2026-08-14 first-sale date, and the same headline amount, $39.5M. The most economical reading is that the Form Ds are the US-regulator disclosure of that same shareholder-loan conversion — with the difference in investor counts (20 at the US entity, 16 at the Luxembourg parent) reflecting two slightly different lists rather than two different deals. That reading is an inference, not something the Form Ds state.
Note also the timing. Atari completed a 200-existing-to-1-new reverse stock split, moving the par value to €2.00, on 2026-05-05, and completed a redomiciliation from France to Luxembourg on 2026-07-06. Both changes make a €24.00 conversion price and a Luxembourg société anonyme capital structure coherent. Atari's hardware segment — the 2600+, 7800+, the Intellivision line and the My Arcade Gamestation Go handheld — is delivered, by Atari's own description, "primarily through strategic partnerships and licenses with third parties," with Atari's hardware roadmap funded out of a company whose reference shareholder is now also its largest creditor-turned-owner.
What this does — and does not — prove
It proves: the current Atari parent and its US IP subsidiary are now filers in EDGAR; a $39.5M debt-to-equity offering was lodged in September 2026; and the offering sits on top of a shareholder-loan conversion that consolidates control.
It does not prove: that the money is ring-fenced for consoles; that the Form D and the French-reported capital increase are legally the same instrument rather than parallel steps; or that any new console is imminent. The hardware roadmap, on Atari's own account, runs through licensees.
One correction worth stating plainly: "first Atari filing with the SEC" is true of the current Luxembourg parent entity (CIK 0002155349) and of Atari Interactive's current incarnation. Predecessor Atari corporations did file in the 1990s and 2000s — Atari Corp (CIK 0000802019) filed through 1996, Atari Inc / Infogrames Inc (CIK 0001002607) filed up to 2008, and Infogrames Entertainment SA (CIK 0001100953) last filed on 2008-12-24. What is new is the appearance of the present parent.
